Curated Vaults – Legal Disclaimer

This disclaimer forms an integral part of the terms governing access to and use of the Stake DAO interface (the “Interface”).

The “Curated Vaults” section of the Interface is made available solely as a neutral technical and informational aggregation layer enabling independent third-party asset managers or curators (each, a “Curator”) to deploy and present independently managed vaults built on top of certain Stake DAO strategies or smart-contract components (each, a “Curated Vault”).

Stake DAO Association is a non-profit association incorporated under Swiss law, acting exclusively as a representative body for the Stake DAO ecosystem.

By accessing, viewing, or interacting with any Curated Vault, you expressly acknowledge, understand, and agree to the following:

1. No Asset Management, Advisory, or Fiduciary Role

Stake DAO does not act as an asset manager, portfolio manager, investment adviser, fiduciary, trustee, broker, custodian, or financial intermediary within the meaning of applicable Swiss, EU, or foreign financial services legislation.

In particular, Stake DAO does not:

  • manage, control, operate, supervise, or monitor Curated Vaults,
  • make investment, allocation, rebalancing, or risk decisions, or
  • exercise discretionary authority over user assets.

All such decisions are made exclusively and independently by the relevant Curator.

No fiduciary, advisory, or agency relationship is created between Stake DAO and any user.

2. No Endorsement, Recommendation, or Regulatory Qualification

The inclusion, listing, accessibility, or technical integration of a Curated Vault within the Interface does not constitute, and shall not be construed as:

  • an endorsement or recommendation,
  • a validation or approval,
  • a certification or audit, or
  • a representation of regulatory compliance

by Stake DAO.

Stake DAO does not verify and makes no representations or warranties, express or implied, regarding the Curator, the Curated Vault, or any related documentation, smart contracts, strategies, or infrastructure.

3. Independent Third-Party Infrastructure and Smart-Contract Risk

Curated Vaults rely on independent third-party infrastructure, which may include:

  • smart contracts not deployed or controlled by Stake DAO,
  • external protocols, middleware, or automation systems,
  • oracles, bridges, cross-chain components, or off-chain services, and
  • governance or upgrade mechanisms outside Stake DAO's control.

Stake DAO does not audit, maintain, operate, guarantee, or insure such components and assumes no responsibility or liability for vulnerabilities, exploits, failures, governance actions, or adverse events affecting them.

Users acknowledge that smart contracts involve inherent technical and security risks, including the risk of irreversible loss.

4. Interface Availability Does Not Create Responsibility

The technical availability, visual presentation, or integration of Curated Vaults within the Interface does not render Stake DAO responsible or liable for:

  • the actions or omissions of any Curator,
  • the performance, logic, or structure of any Curated Vault, or
  • losses arising from user interaction with Curated Vaults.

Stake DAO acts solely as a non-custodial interface provider.

All interactions with Curated Vaults occur entirely at the user's own initiative and risk.

5. No Financial Promotion or Advice

Nothing displayed or made accessible through the Interface constitutes:

  • investment advice within the meaning of the Swiss Financial Services Act (FinSA),
  • a financial promotion under EU or national law, or
  • a solicitation, offer, or recommendation to acquire or dispose of financial instruments.

Users are solely responsible for determining whether any Curated Vault is lawful, suitable, or appropriate for them.

6. User Due Diligence and Risk Allocation

Users bear sole responsibility for conducting independent due diligence, including:

  • assessing Curator disclosures and credibility,
  • understanding the technical and economic design of Curated Vaults,
  • evaluating legal, regulatory, and tax implications, and
  • assessing the risk of partial or total loss of funds.

Stake DAO does not provide assurances, guarantees, or risk mitigation in respect of Curated Vaults.

7. Limitation of Liability

To the maximum extent permitted under applicable Swiss law, Stake DAO disclaims all liability for any direct or indirect loss, damage, or claim arising out of or related to:

  • Curated Vaults or Curators,
  • smart-contract or infrastructure failures, or
  • user interactions with Curated Vaults.

Nothing in this disclaimer excludes liability for intent or gross negligence to the extent such exclusion is prohibited under Swiss law.

8. Governing Law and Jurisdiction

This disclaimer and any disputes arising in connection with Curated Vaults or the Interface shall be governed by Swiss law, excluding its conflict-of-laws provisions.

The courts of Zug, Switzerland, shall have exclusive jurisdiction, subject to mandatory consumer protection laws where applicable.
